From two cases in China which have recently been
brought to Mr.Secretary Balfour's notice, it appears that remedial legislation is required in order to remedy certain shortcomings in the China (Companies) Order in Council of
1915.
It will be within your recollection that the draft
Order was prepared by a small committee consisting of Mr. Payne, the Controller of the Companies Department at the Board of Trade, Mr.Risley of the Colonial Office, and Mr.
Hurst and Mr.Malkin, the Assistant Legal Advisers to this
Department.
It is therefore suggested that in order to save time and correspondence this Committee should be reconvoked at
an early date in order to consider the addition to the
Order of the clauses marked (1) and (2) in the attached
enclosures.
The necessity of some such clause as (1) has been
indicated by the case of the Hoong On Company, which though the real control is holely Chinese and the control by the Board of Directors merely nominal, has nevertheless succeeded in satisfying the requirements of the Order as it stands and has not only applied for registration as a British China Company but is endeavouring as such to
acquire property in the British Concession at Hankow.
